Sample 5-Day Website Service Agreement
1. The Parties
This Agreement is made on ##Date## between:
- The Provider: SmartWebPro (ABN: 34 080 392 418 )
- The Client: ##Client Name## on behalf of ##Business Name##
This Agreement (hereinafter “Agreement”) governs the purchase and delivery of the 5-Day Website Package (hereinafter “The Service”).
2. The Service (“The Package”)
The Provider agrees to deliver the following:
- One (1) 4-page ##Website Type##.
- Standard Pages: Typically “Home,” “About,” “Services” (or “Products”), and “Contact.” The Client will specify the 4 pages in the Project Brief.
- Design: A professional, mobile-responsive design based on the Client’s style preferences (as provided in the Project Brief).
- Content Implementation: Integration of all text, images, and logos provided by the Client.
- One (1) standard contact form.
- On-going monthly hosting and maintenance, payable quarterly in advance, will be either $99 for a Static HTML Website or $137.50 for a WordPress Website.
What is NOT included:
This package does not include copywriting (all text must be supplied), logo design, e-commerce/shopping cart functionality, domain name registration, stock photography/videography, or advanced SEO services.
3. Total Cost & Payment Schedule
The total initial cost for The Service is $2,640.00 AUD (including GST).
This cost is payable in two (2) instalments:
- Payment 1 (Booking Deposit): $770.00 (incl. GST)
- Due: Upon signing this Agreement and prior to project commencement.
- This deposit is non-refundable as it secures the Client’s 5-day slot in the Provider’s schedule and covers the initial design phase.
- Payment 2 (Final Balance): $1,870.00 (incl. GST)
- Due: Upon completion of the website, prior to the final site going live on the Client’s domain.
- The Provider will not launch the live site until the final balance has been received in full.
4. Project Process & Timeline (The 5-Day Project)
The 5-Day timeline is central to this product and requires strict adherence from both parties.
- Stage 1: Booking: The Client signs this Agreement and pays the $770 Booking Deposit.
- Stage 2: Briefing: The Client must complete and submit the Provider’s “Project Brief” form in full, providing all necessary content (text, images, logos).
- Project Start Date: The 5-day (business days) timeline officially begins on the next business day after the Provider receives the completed Project Brief from the Client.
- Stage 3: Design (Day 1-2): The Provider will create and present one (1) design mockup for the Homepage and one (1) mockup for an interior page for the Client’s approval.
- Stage 4: Design Approval: The Client must review and approve (or provide one round of feedback) for the designs.
- Stage 5: Build (Day 3-4): Upon design approval, the Provider will build the complete 4-page website on a private staging (demo) link.
- Stage 6: Final Review (Day 5): The Provider will deliver the staging link to the Client for final review.
- Stage 7: Final Payment & Launch: The Provider will issue the final invoice for $1,870. The Client pays the invoice.
- Stage 8: Go-Live: Upon receipt of final payment, the Provider will deploy the website to the Client’s live domain within one (1) business day.
5. Client Responsibilities & Delays
The Client understands that this 5-day timeline is entirely dependent on their timely cooperation.
- Client Content: The Client is solely responsible for providing all website content (text, high-resolution images, logos) via the Project Brief before the project can start.
- Client Feedback: The Client agrees to provide feedback and/or approval at Stage 4 (Design Approval) and Stage 6 (Final Review) within 24 hours (or one business day) of receiving the request from the Provider.
- Client Delays: If the Client fails to provide content, feedback, or approval within the specified timeframes, the 5-day timeline will be paused. The project will be removed from the Provider’s active schedule and placed “On Hold.”
- Re-scheduling: To re-activate a project “On Hold,” a new start date will be scheduled based on the Provider’s next available opening.
6. Revisions & Scope Creep
This package is designed for speed and efficiency. The scope is strictly defined.
- Included Revisions:
- One (1) round of revisions on the initial design mockups (Stage 4).
- One (1) round of minor text or image swaps during the Final Review (Stage 6).
- Out of Scope (“Scope Creep”): Any requests outside of the items listed in Section 2 (e.g., adding a 5th page, requesting e-commerce, asking for a logo) are considered out of scope.
- Handling Scope Creep: Such work will not be completed within the 5-day project. It will be quoted separately, invoiced separately, and will be scheduled after the original 4-page site is completed and launched.
7. Intellectual Property
- Provider IP: The Provider retains ownership of all design files, code, and intellectual property created until the final payment is received.
- Client IP: Upon receipt of the final payment in full, the Provider grants the Client full and non-exclusive rights and ownership to the finalized website.
- Portfolio Rights: The Provider retains the right to display the completed project in their portfolio (e.g., on their website and social media) for marketing purposes.
8. Termination & Cancellation
- If Client Terminates: If the Client terminates this Agreement for any reason, the $770 Booking Deposit is non-refundable. If termination occurs after the build has begun (Stage 5), the Client is liable for all work completed to date, up to the full project cost.
- If Provider Terminates: In the unlikely event the Provider must terminate the Agreement, they will provide a full refund of all monies paid by the Client to that date.
9. Limitation of Liability
The Provider’s total liability under this Agreement is limited to the total amount paid by the Client ($2,640.00 AUD). The Provider is not responsible for any post-launch issues related to the Client’s hosting, domain, or any third-party plugins.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the state of Victoria, Australia.
11. Acceptance of Terms
By signing below, the Client confirms they have read, understood, and agree to the terms and conditions of this Agreement.
Alternatively, the Client’s payment of the $770 Booking Deposit shall be considered as acceptance of this Agreement.
Signature Certificate
